CBS Corp. has set the final exchange ratio in connection with its offer to shareholders to exchange their shares of CBS Class B common stock for shares of CBS Radio common stock. It's one of the final moves tied to the split-off of CBS Radio, and the combination of the AM and FM radio assets with Entercom Communications through the tax-advantageous Reverse Morris Trust process.

There’ll Be No New FM In Gaylord, Mich., Just Yet
In early August 2016, Roy Henderson notified the FCC that he had created a wholly owned limited liability company. This entity, N Content Marketing, would serve as the owner of an AM in Petoskey, Mich. and 1 AM and 3 FMs in Traverse City, Mich. Two months later, RBR + TVBR learned that Henderson’s new entity sought FCC approval for a brand-new Class C2 FM facility in the resort community of Gaylord, Mich. He's not getting the new station, the Media Bureau has ruled.

On Oct. 24, an SEC filing revealed that iHeartMedia offered its lenders under its Term Loan D and Term Loan E facilities, and certain priority guarantee noteholders, an out-of-court exchange offer with minimum participation thresholds. It now appears this counter proposal was nixed by iHeart's lenders, as iHeart has again extended the deadline for participation in its Term Loan Offers and Exchange Offers -- and the terms remain just as they did seven months ago. With that, iHeart shares plunged today.
Another Challenging Q3, This Time From iHeart
The nation's biggest radio broadcasting company on Wednesday morning released its Q3 results. While the iHeartMedia segment extended its year-over-year revenue growth to 18 consecutive quarters, consolidated revenue decreased 1.9% and operating income slid by 23.7% in the three month period ending Sept. 30.
