As of today, a 100kw Class C1 FM in rural Minnesota, a 1kw Class C AM sibling, and an FM translator simulcasting the AM station, are wholly owned by Border Broadcasting LP and serve such towns as Roseau and Warroad — two hours from Winnipeg and more than 5 1/2 hours from the Twin Cities.
Pending FCC approval, a change in the ownership structure will be had.
The stations involved are KRWB-AM 1410 in Roseau, Minn., FM translator companion K275BB and KKWQ-FM 92.5 in Warroad, Minn.
The transaction sees Border, which is 30% held by Michael Pederson-led Pederson Broadcasting and 70% held by Marvin Principals, execute a change in voting interests as follows:
- Pederson Broadcasting agrees to transfer 24% of its Border Broadcasting non-voting
interests to the Marvin Principals for $72,000. - Pederson Broadcasting and Border Broadcasting will jointly file a transfer of control
application with the FCC for sale and transfer of Pederson Broadcasting’s 100% of the
voting interests to individual Dan DeMolee for $6,500 at closing. - Upon FCC grant of the transfer of control application, Pederson Broadcasting will transfer
its remaining 6% interest of Border Broadcasting’s non-voting interests to the Marvin
Principals for $18,000. - Upon FCC grant of the transfer of control application, Pederson Broadcasting will transfer
100% of the Border Broadcasting voting interests to DeMolee.
Handling all of the paperwork being filed to the Commission on the parties’ behalf is veteran Washington, D.C., communications attorney Gregg Skall.
DeMolee has no current interests in any broadcast stations. He is known in the region for his role as a tours and training instructor for Marvin Windows and Doors, an employer of thousands in Warroad.
