Norsan Media and Genuine Austin Radio have formally amended and confirmed their 2024 asset purchase agreement for a package of Austin-area radio stations, locking in pricing adjustments and revised closing conditions as the deal nears completion.
The original agreement, signed last year, covers the sale of KOKE-FM 99.3 in Thorndale, KTAE-AM 1260 in Elgin, and two associated FM translators – K253AN 98.5 in Sunset Valley and K270CO 101.9 in Round Rock. The transaction builds on Norsan’s prior acquisition of KTXX-FM 104.9 and translator K287FG 105.3 from Genuine Austin Radio in 2023.
The updated amendment, signed April 2, 2025, sets out specific conditions tied to Federal Communications Commission approval. Under the revised terms, closing may occur on or before the fifth business day after the FCC issues its consent, or sooner at Norsan’s option following the initial FCC order. If closing occurs before the FCC consent becomes final, both parties have agreed to execute an unwind agreement to safeguard against any regulatory reversal.
In a new pricing provision, the amendment ties a portion of the overall purchase price to the timing of the combined transaction. If Norsan completes both the KOKE/KTAE and KTXX acquisitions by July 1, 2025, the total price will be reduced by $300,000.
Under the original deal, Norsan agreed to pay $2 million for the KOKE and KTAE assets, with $500,000 already paid through an earlier option agreement. Additional credits from Norsan’s ongoing time brokerage arrangement with Genuine Austin Radio are applied at closing.
For Norsan Media, the Austin expansion marks a significant growth step into the Texas market. Prior to these deals, Norsan’s presence in the region consisted of K236AY 95.1 La Raza and KZNX-AM 1530, both acquired in 2020. Once completed, Norsan will control a consolidated cluster of AM, FM, and translator signals serving the growing Austin metropolitan area.
The amended agreement was executed by Genuine Austin Radio Manager Jason Nassour and Norsan Media CEO Norberto Sanchez. Serving as the legal counsel for the seller is Lauren Lynch Flick of Pillsbury Law. Norsan Media’s legal representative is John C. Trent of Putbrese, Hunsacker & Trent.
