Winemiller Signs Off On Two LPTV Spin Deals

Jeff Winemiller and his Lowcountry 34 Media are at it again when it comes to buying and selling low-power television stations. This time around, the entrepreneur has signed off on3 two agreements that involve facility sales. One of the buyers is HC2 Station Group.


Winemiller on Wednesday signed off on paperwork just submitted to the FCC for regulatory approval that sees HC2 agree to purchase the following properties:

  • W19FF-D, Knoxville, Tennessee (FCC Facility ID No. 17784)
  • W24FB-D, Brazil, Indiana (FCC Facility ID No. 186331)
  • W22EY-D/W14FA-D, Greenville, South Carolina (FCC Facility ID No. 67015)

With HC2 CFO Les Levi signing off on the acquisition, the company is paying $530,000 for the four LPTV stations across the three markets. Brazil, Ind., is in Clay County and to the east of Terre Haute.

A $75,000 downpayment has been made to Winemiller.

Serving as legal counsel for Winemiller is Davina Sashkin of Wilkinson Barker Knauer; the firm’s David O’Connor served as Levi’s legal counsel in this transaction.

In the second deal to be filed late Friday for FCC regulatory approval, Lowcountry 34 Media is agreeing to sell W25FE-D in Chambersburg, Pa., and W32DH-D in Erie, Pa., to Lighthouse Support. That’s an Allentown-based nonprofit behind Christian Talk and Teaching-focused Lighthouse TV.

With Joe Chautin III of Hardy, Carey, Chautin & Balkin serving as the buyer’s legal counsel, the broadcast ministry is paying $200,000 for the Pennsylvania LPTV facilities and has assumed forgiveness of debt in the amount of $400,000, erasing monies owed by Winemiller to Lighthouse Support tied to W25FE-D.

Winemiller’s legal counsel in the Pennsylvania transaction is Scott Pohlman of Pohlman Law Group in Ashburn, Va.

Equipment includes Dielectric antennas and filers and for W32DH-D all EAS equipment.
