In October 2017, the owner of radio stations in small and medium-sized markets promoted Bill Wilson and Dhruv Prasad to the respective roles of Co-Chief Executive Officer. As a result, Townsquare Media founder and CEO Steven Price transitioned to the role of Executive Chairman of the Board.

Now, the Townsquare’s board is adding a chair while filling an empty one by appointing its co-CEOs.

The move came on March 1, according to an SEC filing made March 7 by the company.

As a result, Townsquare’s board is now comprised of 8 directors.

Prasad will be a Class III director on Townsquare’s classified Board and will be up for re-election at the company’s 2020 annual shareholders’ meeting. Wilson will be a Class I director on Townsquare’s classified Board and will be up for re-election at the
company’s 2018 annual shareholders’ meeting.

Neither Prasad nor Wilson will receive additional compensation for their service on
the board.
