A Media Intelligence M&A Move For Nielsen

NEW YORK — A definitive agreement has been reached that will see the nation’s dominant audience measurement and data analytics provider acquire the NYSE-traded company known for its software platform used to verify media quality, optimize ad performance, and prove campaign outcomes.


The deal, announced late Thursday, sees Nielsen Holdings taking on DoubleVerify in an all-cash transaction with an enterprise value of approximately $2.15 billion.

DoubleVerify shareholders will receive $13.60 per share in cash.

This, says Nielsen, represents a 30% premium to DoubleVerify’s 60-trading day volume weighted average price as of August 5. However, shares of “DV” are down $1.52 per share from one year ago. On the bright side, “DV” is well ahead of a 52-week low of $7.64 seen in May 2026.

“This combination will unite two organizations focused on strengthening independence and trust in advertising,” said Nielsen CEO Karthik Rao. “Joining forces with DoubleVerify will extend our capabilities deeper into the digital media industry, ensuring that the spend flowing between buyers and sellers is reaching real people in brand-suitable environments, through verified channels. DoubleVerify CEO Mark Zagorski added that the acquisition marks “an exciting milestone for DoubleVerify.
