Sinclair Elects Board, Ratifies Independent Auditor

BALTIMORE — Sinclair Broadcast Group shareholders have successfully elected the nominated nine directors at the company’s annual shareholders’ meeting, held Thursday.


Among those taking seats is a former 2016 Republican presidential candidate who later led HUD for the Trump Administration. Here’s who else will be taking seats in the company boardroom.

The elected Directors are:

  • David D. Smith, Executive Chairman, Chairman of the Board 
  • Frederick G. Smith, Director and Vice President 
  • J. Duncan Smith, Director, Vice President and Secretary 
  • Robert E. Smith, Director
  • Laurie R. Beyer, Director
  • Dr. Benjamin S. Carson, Sr. Director
  • Howard E. Friedman, Director
  • Daniel C. Keith, Director
  • Hon. Benson E. Legg, Director

Carson is known as a retired neurosurgeon and politician who served as the 17th United States Secretary of Housing and Urban Development from 2017 to 2021, during the Trump Administration. He was a candidate for President of the United States in the 2016 Republican primaries.

Shareholders also ratified the appointment of PricewaterhouseCoopers LLP as the company’s independent registered public accounting firm for FY 2022.

Sinclair stockholders also approved the company’s 2022 Stock Incentive Plan and said yes to an amendment to the company’s Amended and Restated Articles of Incorporation to provide for the exculpation of directors and officers.

A tabulation of the votes on these matters will be included in a Current Report on Form 8-K to be filed with the Securities and Exchange Commission.
